Terms of Service

1. Acceptance of terms

By using kokatta.com or engaging Kokatta for services, you agree to these Terms of Service. Project-specific statements of work (SOWs), proposals, and NDAs control if they conflict with this page.

2. Services

Kokatta provides SaaS and web development, AI engineering and automation, mobile apps, digital marketing, Microsoft Dynamics work, and ongoing support. Scope, timeline, fees, and deliverables are defined in a written proposal or SOW before paid work begins.

3. Intellectual property

Unless otherwise stated in your SOW, you own the custom deliverables we create for your project after full payment. Kokatta retains ownership of our pre-existing tools, frameworks, and know-how. Third-party licenses (open-source libraries, hosted APIs, fonts) remain subject to their own terms.

4. Confidentiality and NDAs

We treat client information as confidential and can sign a mutual NDA before reviewing sensitive materials. You agree not to share our non-public proposals, pricing models, or internal processes without permission.

5. Payments

Fees, milestones, and payment methods are set in your proposal or marketplace contract. Work may pause if invoices remain unpaid beyond the agreed terms. Marketplace engagements follow Upwork or Fiverr rules where applicable.

6. Client responsibilities

You are responsible for providing accurate requirements, timely feedback, necessary access credentials, and lawful use of the finished product. Delays in client feedback may shift delivery dates.

7. Changes, acceptance, and cancellation

Material scope changes require written agreement and may change fees or delivery dates. Deliverables are reviewed under the acceptance process in the SOW. Custom work and completed milestones are generally non-refundable once work begins unless the SOW, marketplace rules, or applicable law states otherwise. Cancellation terms are defined in the relevant proposal or SOW.

8. Acceptable use

You may not misuse this website or our services to violate law, infringe intellectual property, distribute malware, gain unauthorized access, scrape or disrupt systems, or build products intended to harm others. We may suspend work or access where misuse creates security, legal, or reputational risk.

9. Warranties and third-party services

We perform services with reasonable skill and care. Except for written commitments in an SOW, the website and general materials are provided “as is.” We do not control outages, policy changes, or performance of third-party platforms, APIs, hosting, app stores, payment providers, or open-source software.

10. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, or consequential losses, including lost profits or data. Unless an SOW states otherwise, Kokatta's aggregate liability for a project is limited to the fees paid for the affected services during the six months before the claim. These limits do not apply where liability cannot lawfully be excluded.

11. Termination

Either party may terminate as allowed by the SOW. On termination, the client pays for work completed and committed non-cancellable costs. Confidentiality, intellectual property, payment, and liability terms survive where their nature requires it.

12. Governing law and disputes

A project SOW may specify governing law, venue, and dispute procedures. If it does not, these terms are governed by the laws applicable at our principal place of business in Islamabad, Pakistan. The parties will first attempt to resolve disputes in good faith before filing formal proceedings.

13. Changes to these terms

We may update these website terms when our services or legal requirements change. The effective date above identifies the current version. Updates do not retroactively change a signed SOW.
